Please read these Terms and Conditions (“Terms”) carefully before accessing or using the WorkRemote social media platform (“Platform”) provided by WorkRemote LDA (“Company,” “we,” “us,” or “our”). By accessing or using the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Acceptance of Terms

1.1 Agreement: These Terms constitute a legally binding agreement between you and WorkRemote LDA regarding your use of the Platform.

1.2 Modifications: WorkRemote LDA reserves the right to modify or update these Terms at any time, effective upon posting the modified Terms on the Platform. It is your responsibility to review these Terms periodically. By continuing to access or use the Platform after such modifications, you agree to be bound by the modified Terms.

2. Use of the Platform

2.1 Eligibility: You must be at least 18 years old to access or use the Platform. By accessing or using the Platform, you represent and warrant that you are 18 years of age or older.

2.2 User Account: In order to access certain features of the Platform, you may need to create a user account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process.

2.3 Prohibited Activities: You agree not to engage in any of the following activities while using the Platform:

a) Violating any applicable law or regulation; b) Impersonating any person or entity or falsely stating or misrepresenting your affiliation with any person or entity; c) Transmitting or distributing any viruses, worms, or other malicious code; d) Collecting or harvesting any personally identifiable information from other users; e) Interfering with or disrupting the integrity or performance of the Platform or the data contained therein; f) Engaging in any activity that could damage, disable, overburden, or impair the Platform or its servers; g) Circumventing or modifying any security measures or authentication systems used by the Platform.

3. User-Generated Content

3.1 Ownership: You retain all ownership rights in the content you post or submit on the Platform (“User Content”). By posting or submitting User Content, you grant WorkRemote LDA a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content.

3.2 Responsibility: You are solely responsible for the User Content you post or submit and the consequences of sharing or publishing such content. You represent and warrant that you have all necessary rights to grant the licenses and permissions described in these Terms.

3.3 Prohibited Content: You agree not to post or submit any User Content that:

a) Infringes upon or violates any third party’s intellectual property rights, privacy rights, or other rights; b) Contains any unlawful, defamatory, obscene, offensive, or discriminatory content; c) Promotes or incites violence, hatred, or discrimination based on race, ethnicity, religion, gender, sexual orientation, or any other protected characteristic; d) Contains any viruses, malware, or other harmful code.

4. Intellectual Property Rights

4.1 Platform Content: The Platform and all content and materials available on the Platform, including but not limited to text, graphics, logos, images, and software, are the intellectual property of WorkRemote LDA or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Limited License: Subject to your compliance with these Terms, WorkRemote LDA grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal and non-commercial purposes.

5. Privacy

5.1 Privacy Policy: WorkRemote LDA’s Privacy Policy governs the collection, use, and disclosure of personal information provided by you in connection with your use of the Platform. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

6. Disclaimer of Warranties

6.1 Use at Your Own Risk: The Platform is provided on an “as-is” and “as available” basis, without any warranties of any kind, either express or implied. Your use of the Platform is at your own risk.

6.2 No Endorsement: WorkRemote LDA does not endorse, warrant, or guarantee the accuracy, completeness, reliability, or usefulness of any information, content, or materials provided by other users or third parties through the Platform.

7. Limitation of Liability

7.1 Exclusion of Damages: To the maximum extent permitted by applicable law, WorkRemote LDA shall not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of the Platform.

8. Indemnification

8.1 Defense and Indemnification: You agree to defend, indemnify, and hold harmless WorkRemote LDA, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

9. Termination

9.1 Termination by WorkRemote LDA: WorkRemote LDA may, in its sole discretion, terminate or suspend your access to the Platform at any time, with or without cause and without prior notice.

9.2 Termination by User: You may terminate these Terms by discontinuing your use of the Platform and deleting your user account.

10. Governing Law and Dispute Resolution

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the European Union.

10.2 Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved through negotiation in good faith. If the parties are unable to resolve the dispute through negotiation, the dispute shall be submitted to binding arbitration in accordance with the rules of European Union.

11. Miscellaneous

11.1 Entire Agreement: These Terms constitute the entire agreement between you and WorkRemote LDA regarding your use of the Platform and supersede any prior agreements or understandings.

11.2 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.3 Assignment: You may not assign or transfer these Terms, in whole or in part, without the prior written consent of WorkRemote LDA. WorkRemote LDA may freely assign or transfer these Terms without restriction.
